This Agreement ("Agreement") governs access to and use of Depth Studio AI ("Platform"). Depth Studio AI is operated and supplied by Gamze Kamile Akgül, a sole proprietor registered in the Czech Republic under IČO 22435735, with a registered business address at Pod novým lesem 137/52, Veleslavín, 162 00 Praha 6, Czech Republic. In this Agreement, Gamze Kamile Akgül trading as Depth Studio AI is referred to as the "Supplier", "we" or "us"; Depth Studio AI is a brand and product name and is not itself a separate legal entity. By accessing the Platform or generating any content through it, you ("Member") agree to be legally bound by these terms.
1. Eligibility and Age
You must be at least 18 years old to use the Platform's AI generation tools.
If you are between 16 and 18, you may only use the Platform under the supervision of a parent or legal guardian who accepts this Agreement on your behalf.
The Platform is not directed at, and may not be used by, anyone under 16. We do not knowingly accept account holders under 16; if we learn that one has registered, we close the account and delete its data. How minors who appear in content uploaded by Members are handled is set out in section 18 of the Privacy Policy.
You confirm that the laws of your jurisdiction do not prohibit your use of the Platform or of the content you generate with it.
2. Access and Account
Access is granted at the Supplier's discretion and may be suspended or revoked at any time in case of violation of this Agreement.
Membership does not constitute employment, partnership, joint venture or agency.
You are responsible for keeping your credentials confidential and for every action carried out through your account, from any device.
You must notify us without undue delay if you suspect unauthorised access to your account.
3. Nature of the Platform
The Platform is an AI-powered creative and collaboration environment providing image, video, audio and voice generation, large language model interactions, project and task management, internal communication spaces, and related collaborative tools. The Supplier supplies technical tools only. It does not exercise editorial, legal or ethical judgement over what Members choose to generate.
4. Your Content and Uploads
"User Content" means anything you upload to or generate on the Platform, including images, video, audio, text, prompts, model outputs, LLM conversations, project data, messages, files and metadata. You retain your rights in the material you upload. By uploading, you represent and warrant that:
You own the necessary rights to that material, or you hold a valid licence or permission covering the use you make of it on the Platform.
Where the material depicts an identifiable person, you have that person's documented consent for AI processing, alteration and — where applicable — commercial use of their likeness and voice.
The material does not infringe any third-party copyright, trade mark, design right, personality right or right of publicity.
The material does not contain personal data of third parties that you are not lawfully entitled to share with us and our sub-processors.
Licence you grant us: so that we can operate the Platform for you, you grant the Supplier a non-exclusive, worldwide, royalty-free licence, limited to the period for which your User Content is stored on the Platform, to host, store, copy, process, convert and transmit your User Content (including to the AI provider that performs the generation you request), and to display it to you and to the people you choose to share it with, such as members of your Team or clients you invite. This licence exists solely to provide the Platform to you and to comply with the law. It does not allow us to sell your User Content, to use it for advertising or to train AI models on it (Privacy Policy, section 4), and it ends when the content is deleted, subject to the retention periods in the Privacy Policy.
Uploading a photograph of a person you do not have consent from — including public figures, actors and models — is the single most common source of legal claims in AI production work. This obligation is on you, not on the Supplier.
5. AI Outputs: Ownership and Copyright
Subject to your compliance with this Agreement and payment of any amounts due, you may use, reproduce, modify and commercially exploit the outputs you generate ("Output") for any lawful purpose.
The copyright status of AI-generated material is unsettled and differs between jurisdictions. The Supplier does not and cannot guarantee that you own, or can register or enforce, copyright in any Output in any given jurisdiction.
AI models may produce outputs that are similar or identical to outputs generated by other users, or that resemble pre-existing works. The Supplier grants no exclusivity over any Output.
The Supplier gives no indemnity, defence or legal protection in respect of AI-generated Output. Any such protection would require a separate written agreement.
6. Prohibited Use
You must not use the Platform to create, upload, store or distribute:
Any sexualised depiction of a minor. This is strictly prohibited, will result in immediate and permanent termination, and will be reported to the competent authorities.
Sexually explicit content, or content depicting non-consensual sexual activity.
Non-consensual intimate imagery (NCII): nude, sexual or otherwise intimate images, video or audio of a real, identifiable person that are created, altered or "undressed" with AI without that person's explicit consent — whether the person is a private individual or a public figure. This is strictly prohibited and results in removal of the content and immediate termination of the account; where the law requires it, we report it to the competent authorities.
Synthetic depictions ("deepfakes") of real, identifiable people without their documented consent — including impersonation, false endorsement, fabricated statements, and voice cloning.
Content depicting graphic violence, injury, or that promotes or creates a risk of physical or psychological harm to any person or animal.
Hate speech, or content promoting discrimination on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability or age, including hateful symbols.
Copyrighted characters, artworks, or third-party brands, logos and trade dress, where such use infringes the rights of the holder.
Content that discloses another person's personal data without a lawful basis, or that is used to harass, stalk, defame or intimidate.
Depictions of illegal activity, or content that encourages or glorifies criminal conduct.
Content designed to deceive in an electoral, financial, medical or legal context, or to facilitate fraud.
Any attempt to circumvent Platform security, rate limits, credit accounting or content filters, or to use Output to train competing AI models.
Removing, altering or obscuring watermarks, content credentials, metadata or other machine-readable markings that identify content as generated or manipulated by AI, or presenting AI-generated content as authentic in breach of applicable transparency rules (section 23).
Reverse engineering, decompiling or disassembling the Platform (except to the extent mandatory law permits it), extracting data from it by automated means other than the features we provide, or reselling, sublicensing or sharing access to your account.
7. Sole Responsibility for Output
You are solely responsible for the prompts you submit, the material you upload, the Output you generate and every subsequent use, publication, distribution or commercial exploitation of that Output. You are responsible for verifying that Output is accurate, lawful and non-infringing before you rely on it or release it. The Supplier does not review Output before delivery and does not warrant that it is original, accurate or lawful.
8. Indemnification
You agree to defend, indemnify and hold harmless the Supplier and any person acting on the Supplier's behalf, including its contractors and licensors, from and against any and all claims, demands, proceedings, damages, losses, liabilities, fines, costs and expenses (including reasonable legal fees) arising out of or connected with: (a) your User Content or Output; (b) your use of the Platform; (c) your breach of this Agreement; or (d) your violation of any law or of any third-party right, including intellectual property, personality, privacy or data protection rights. The Supplier will notify you of any such claim and may, at its own expense, assume the exclusive defence and control of the matter, in which case you agree to cooperate. If you are a consumer, this section applies only to the extent that the claim results from a breach of this Agreement or of the law for which you are responsible, and only to the extent permitted by the mandatory consumer protection law that applies to you.
9. Disclaimer of Warranties
The Platform and all Output are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or uninterrupted operation. The Supplier does not warrant that the Platform will be error-free, that any specific model will remain available, or that Output will meet your requirements. Nothing in this section limits rights that cannot be excluded under mandatory consumer protection law.
10. Limitation of Liability
To the maximum extent permitted by law, the Supplier shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for loss of profit, revenue, goodwill, data, production time or business opportunity, however caused.
The Supplier's total aggregate liability arising out of or in connection with this Agreement shall not exceed the greater of (a) the amounts actually paid for your access to the Platform in the twelve (12) months preceding the event giving rise to the claim, whether paid to the Supplier directly or through the payment provider used for the purchase, or (b) EUR 100.
These limits do not apply to liability for harm caused intentionally or through gross negligence, for harm to the life, health or other natural rights of a person, for fraud or fraudulent misrepresentation, or to any other liability that cannot be limited or excluded under applicable mandatory law. If you are a consumer, they apply only to the extent permitted by the mandatory consumer protection law of your country.
11. Plans and Subscriptions
Access to the Platform is offered on a free plan and on paid subscription plans. Current plans, prices and included credit allowances are published at depthstudio.ai/pricing.
Paid plans are sold as subscriptions with a monthly or annual billing period, chosen at checkout. Unless you cancel, a subscription renews automatically at the end of each billing period and the applicable charge is taken again for the following period.
You can cancel at any time from Settings → Billing, which opens the billing portal of the payment provider used for your subscription. Cancellation stops future renewals; it is not a mid-period termination.
When you cancel, your paid plan continues until the end of the billing period you have already paid for. You are not charged again after that, and access returns to the free plan.
Changing to a different paid plan is not currently performed as an in-place change. While a subscription is running, a second subscription cannot be started for the same account; to move to another plan, cancel the current subscription and subscribe to the new plan once the paid period has ended.
If a renewal payment fails, the payment provider may attempt to recover the payment over a limited period. Your plan may be kept active during that recovery period. If recovery does not succeed, the paid entitlement ends.
We may change plan prices and plan contents. Changes apply to billing periods that begin after the change; a period you have already paid for is unaffected.
12. Credits
Credits are units of Platform usage. They are not money, not stored value, not a payment instrument and not a cash equivalent. They cannot be exchanged for cash or withdrawn, and are transferable only through features the Platform expressly provides.
A paid subscription grants a credit allowance for each paid period. Credits granted to an individual are added to that person's balance.
AI generation consumes credits. The credit cost of a model or feature reflects third-party provider pricing and may change; the estimated cost is shown before you start a generation.
Credits consumed by a generation that was successfully produced and delivered are not returned, including where you are dissatisfied with the aesthetic result.
Where a generation fails on our side and no usable output is delivered, the corresponding credits are returned to the balance they were taken from.
Returning credits to a balance is not a refund of money. Money refunds are handled as described in section 13 and in our Refund Policy.
The scope of permitted commercial use may depend on your plan. Where a plan is described as limited to personal or evaluation use, commercial exploitation of Output produced under it is not permitted.
13. How Your Purchase Works — Payments and Billing
Payments and subscription billing are processed through third-party payment service providers. The applicable payment provider and the payment terms for your order are presented to you during checkout. The Platform itself is supplied to you by Gamze Kamile Akgül under this Agreement.
Payment processing, applicable sales taxes and VAT, invoicing, subscription billing and renewals, and payment-related fraud prevention are carried out by the payment service providers involved in the transaction.
We are responsible for providing the Platform, for the plan entitlements described here, and for support relating to the product itself.
Which payment provider applies to your order, and any additional terms that provider requires you to accept, are presented to you during checkout. Those terms are separate from this Agreement.
Refunds of money are processed through the payment provider used for the original payment. We cannot reverse a card payment outside that provider's systems, and we do not store complete payment card details on our servers.
Nothing in this Agreement limits statutory rights you have as a consumer, including any right of withdrawal that applies to your purchase.
A paid plan involves two separate things: the payment for your order, which is handled through a payment service provider, and your use of the Platform, which is with us under this Agreement. This section explains which one covers what.
14. Teams
A Team is a shared workspace owned by the member who created it. Team capability depends on the owner holding a plan that includes it.
The Team owner may move credits from a personal balance into the Team pool. Credits in a Team pool are spent on work carried out in that Team.
If the owner's paid entitlement ends, the Team is frozen. Freezing is not deletion: the Team, its members, its projects and its remaining credit balance are preserved, but Team work cannot be modified and Team credits cannot be spent while the Team is frozen.
Personal accounts and personal balances of Team members are not affected by a Team being frozen.
If the owner restores a plan that includes Team capability, the Team is reactivated and continues from its preserved state.
15. Moderation, Suspension and Reporting
AI generation is carried out by third-party model providers, which apply their own automated safety systems and may refuse a request. When a provider refuses, the Platform tells you the request was blocked. For some models we request the provider's safety checker to be switched on. We do not currently run our own automated pre-screening of prompts or uploads.
Before their first generation, every Member must confirm the prohibited-use rules of this Agreement, including the ban on non-consensual intimate imagery; the confirmation is recorded with its version and time.
We review content that is reported to us, or that otherwise comes to our attention, where there is a suspicion of a breach of this Agreement or of applicable law.
We may remove content, restrict features, suspend or permanently terminate an account, with or without prior notice where the breach is serious.
Content involving the sexual exploitation of minors, or other content whose reporting is legally mandated, will be reported to the competent authorities together with the associated account data.
Provider safety systems can produce false positives. If a request is blocked in error, try different wording or another model, or contact us.
Decisions to remove content or to suspend or terminate an account are taken by a person, not by an automated system.
When we remove or restrict content, or suspend or terminate an account, we inform the affected Member by email with a statement of reasons: what we did and its scope, the facts and circumstances relied on, whether the decision followed a notice from someone else, whether automated means were used, the term of this Agreement or the legal provision concerned, and how the decision can be challenged. We may withhold this only where the law prohibits it or where it would compromise the investigation of a crime.
You can contest such a decision within six months by writing to us. A person reviews the complaint and we inform you of the outcome without undue delay. Your right to turn to an out-of-court body or a court is not affected.
16. Complaints, Copyright Claims and Takedown
If you believe content on the Platform infringes your rights, is unlawful, or breaches this Agreement, contact [email protected] with: your identification and contact details, a precise description and location of the content, a statement of the right infringed or the law breached, and a statement that your notice is accurate and made in good faith. We will assess the notice, act where justified, and inform you of the outcome. Where content is removed, the affected Member will be notified and may contest the decision through the same channel.
This address is also our single point of contact for Members and for public authorities, including under Articles 11 and 12 of Regulation (EU) 2022/2065 (Digital Services Act). You can write to us in English, Czech or Turkish. We handle notices in a timely, diligent and objective manner.
17. Changes to this Agreement
We may amend this Agreement where there is a reasonable need for it: a change in the law or in the requirements of a regulator or court, the security of the Platform, changes in the features we offer, or changes in the services and terms of the third-party providers the Platform depends on. We will inform you at least 30 days before a change takes effect, by email to the address on your account and through the Platform, and we will state what changes and from when. If you do not agree, you may reject the change by terminating this Agreement free of charge before it takes effect — by cancelling any subscription and deleting your account. If you reject a change that is materially to your disadvantage while a prepaid subscription period is running, you may also ask for a pro-rata refund of the unused part of that period. If you do not terminate, the change applies from the date stated. Changes required by law, or urgently needed for security, may take effect sooner where the law allows; changes that only benefit you or are purely editorial may take effect immediately. Where a change affects the AI usage clauses, you will be asked to re-confirm your acceptance before your next generation. Price changes are governed by section 11. A summary of every announced change, with its effective date, is published at depthstudio.ai/legal/updates.
18. Governing Law and Disputes
This Agreement is governed by the law of the Czech Republic, where the Supplier is established. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory rules of the law of the country in which you habitually reside, and you may bring proceedings before the courts of that country. Disputes not covered by those rules shall be submitted to the competent courts of the Czech Republic. This section governs your use of the Platform under this Agreement; any additional terms required by the payment provider used for your order apply separately to that payment (section 13).
Out-of-court dispute resolution: the competent body for consumer disputes with a trader established in the Czech Republic is the Czech Trade Inspection Authority (Česká obchodní inspekce), coi.gov.cz/en/information-about-adr/. You may turn to it if a complaint is not resolved directly with us. Complaints about a payment, an invoice or a refund are handled together with the payment provider used for your order; write to us and we will direct the request to the right place.
19. Term, Termination and Survival
This Agreement applies from the moment you create an account or first use the Platform and continues for an indefinite period until it is terminated.
You may terminate it at any time by deleting your account (Privacy Policy, section 8). If you have a paid subscription, cancel it first as described in section 11.
We may terminate it for a breach as described in section 15. We may also terminate it without giving a reason, or discontinue the Platform, with at least 30 days' notice; in that case we refund the unused part of any prepaid subscription period pro rata and give you the opportunity to download your content before it is deleted.
On termination your right to use the Platform ends and your User Content is deleted as described in the Privacy Policy. Sections 5, 7, 8, 9, 10, 18 and 25, and any other provisions which by their nature are intended to continue, survive termination.
20. The Platform and Your Licence to Use It
The Platform — its software, design, user interface, texts and graphics, the Depth Studio name and logo, and everything else we provide other than your User Content and Output — belongs to the Supplier or its licensors. Subject to this Agreement and to your plan, we grant you a personal, non-exclusive, non-transferable and revocable licence to use the Platform for its intended purpose for as long as this Agreement is in force. No other rights are transferred to you, and you may not use our name or logo without our written consent.
21. Feedback
If you send us suggestions or feedback about the Platform, we may use them freely to improve the Platform, without any obligation to you. This does not apply to your User Content, which is governed by section 4.
22. Third-Party Services and Other Members
The Platform relies on third-party services, in particular AI model providers. Their availability, behaviour, pricing and terms can change independently of us, and a model may be withdrawn. Where this significantly affects a paid feature, we will inform you and, where possible, offer an alternative.
Links to third-party websites, and content embedded from them (such as YouTube videos, which load only with your consent), are governed by those third parties' own terms and privacy policies.
Your dealings with other Members, Team members and clients you invite are your own. We are not responsible for content that other Members create or share, but we act on notices as described in section 16.
23. AI-Generated Content and Transparency
Output is generated or manipulated by AI. It may carry machine-readable markings, watermarks or content credentials applied by the model provider or by us so that it can be recognised as AI-generated. You must not remove or alter them (section 6).
If you publish Output that is a deep fake — image, audio or video content that resembles real persons, objects, places or events and would falsely appear to a person to be authentic — you must disclose that it has been artificially generated or manipulated, as required by Article 50(4) of Regulation (EU) 2024/1689 (AI Act). Where the Output forms part of an evidently artistic, creative, satirical or fictional work, it is enough to disclose this in an appropriate way that does not hamper the display or enjoyment of the work.
AI-generated text that you publish to inform the public on matters of public interest must likewise be disclosed as AI-generated, unless it has undergone human review or editorial control and a person holds editorial responsibility for it.
24. Conclusion of the Contract, Language and Storage
The contract under this Agreement is concluded electronically when you create an account and accept this Agreement. A purchase of a paid plan is completed in the checkout of the payment provider (section 13), where you can review and correct your details before you confirm the order.
This Agreement is available in English, Czech and Turkish, and you can choose the language in the Platform. All three versions are binding; if they differ, the interpretation more favourable to you as a consumer applies.
The version of this Agreement in force is always available at depthstudio.ai/terms, where you can save or print it. We archive every version in electronic form and, on request, send you the version you accepted. Your acceptance of the AI usage terms is recorded with its version and time (section 15).
The Supplier has not adopted any code of conduct within the meaning of consumer protection law.
25. General Provisions
This Agreement, together with the Privacy Policy, the Refund Policy and — where you use the Platform for business purposes — the Data Processing Terms (section 26), forms the entire agreement between you and the Supplier regarding the Platform.
If a provision is invalid or unenforceable, the remaining provisions stay in effect, and the provision concerned is replaced by a valid one that comes as close as possible to its purpose, to the extent the law allows.
If we do not enforce a right immediately, we do not waive it.
You may not transfer this Agreement to another person without our consent. You agree that we may transfer this Agreement, together with the operation of the Platform, to a successor — for example a company set up to operate the Platform — provided that your rights under it are not reduced. We will inform you in advance, and you may terminate the Agreement if you do not agree.
We may send you notices about this Agreement and your account electronically, by email or through the Platform.
To the extent permitted by law, we are not liable for a failure or delay caused by circumstances beyond our reasonable control, such as outages of third-party providers, network failures, natural events or acts of public authorities.
Where you use the Platform as a business and not as a consumer, the provisions this Agreement reserves for consumers do not apply to you.
26. Business Use and Data Processing
If you use the Platform for the purposes of a business — for example as a production company managing its crew, cast or clients in a Team or a client session — you are the controller of the personal data you place on the Platform, and we process that data on your behalf as processor. Our Data Processing Terms at depthstudio.ai/dpa then form part of this Agreement and set out the terms required by Article 28 of the GDPR.
